Terms of Service

1. Acceptance

By engaging ETD Digital Global Sdn Bhd ("ETD Digital") for any software development, consulting, or automation service, you agree to these Terms of Service. If you do not agree, do not proceed with an engagement.

2. Services

ETD Digital provides custom software development including websites, mobile applications, AI systems, e-commerce platforms, internal business systems, and workflow automation. Each project is scoped individually via a written proposal or quotation before work begins.

3. Project Scope and Changes

The agreed scope is documented in the project proposal or quotation. Changes to scope requested after project commencement may result in additional charges and timeline adjustments. All scope changes require written agreement from both parties.

4. Payment Terms

• A deposit (typically 50%) is required before project commencement
• The remaining balance is due upon project completion and delivery
• Invoices are payable within 14 days of issue
• Late payments may incur interest at 1.5% per month
• All prices are in Malaysian Ringgit (MYR) unless otherwise stated

5. Intellectual Property

Upon receipt of full payment, ownership of the custom software developed for you transfers to you. ETD Digital retains the right to use general programming techniques, libraries, and frameworks used in the project for other clients.

Third-party components (open-source libraries, licensed APIs) remain subject to their respective licences.

6. Client Obligations

You agree to:

• Provide timely feedback, content, and access required for project delivery
• Ensure any content or data you provide does not infringe third-party rights
• Comply with applicable laws when using the software we deliver

7. Warranties and Limitations

We warrant that the software we deliver will substantially conform to the agreed specifications at delivery. We will remedy material defects reported within 30 days of delivery at no additional cost.

To the maximum extent permitted by Malaysian law, ETD Digital's total liability for any claim arising from a project is limited to the amount paid for that project. We are not liable for indirect, consequential, or loss-of-profit damages.

8. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination of the engagement.

9. Termination

Either party may terminate a project engagement with 14 days written notice. Work completed up to the date of termination is billable at the pro-rated project rate. Deposits are non-refundable once work has commenced.

10. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
